As my client, you agree:

  • You have the power to enter into this contract on behalf of your company or organization.
  • Coordination of any decision-making with parties other than me
  • To provide me with everything I need to complete the project, including account credentials, images andother information as and when I need it.
  • To review my work, provide feedback, and approve it within a timely manner.
  • To stick to the payment schedule described in the proposal.
  • To release me from any liability associated with or related to this project.

As the Designer, I agree:

  • I have the experience and ability to perform the services you need from me.
  • I will carry this service out in a professional and timely manner.
  • I will respect the confidentiality of any information you give me.
  • I will provide you with the information you need to access and update your site in the future.
  • I will endeavor to meet all the deadlines we set together.

Carrie C. Green reserves the right to refuse service to anyone having or requesting web pages for illegal purposes, inappropriate or offensive purposes or any other purpose that in our opinion is inappropriate.

COMPOSITION: Client agrees to pay designer the fees listed in the project package or proposal, including all

taxes. All other costs, such as art licensing or photography, will be pre-purchased by/to client.

PAYMENT: Any design work done by Carrie C. Green requires a deposit of the outlined amount in the project proposal or package, due upfront and before any design work is started. Final payment is due 30 days after the initial deposit date or once all the design work is completed and before any final files are sent to the client, which ever comes first. If client or designer decides to end this agreement, designer retains the deposit for time spent on research and design. Monthly or yearly fees are automatic recurring payments: If you are signing up for one of our monthly website programs or consulting services, the monthly (or yearly) fee will be automatically debited from your account safely and securely through our merchant account.

LATE PAYMENT: Invoices not paid within 30 days are considered past due, and will incur a 1.5% monthly late fee . All grants of any license to use or transfer ownership of any intellectual property rights under this agreement are conditioned on full payment, including all outstanding additional costs, expenses, fees, or any charges. For non-payment of subscription services, Carrie Green reserves the right to discontinue services which includes but not limited to removing the client’s website for the hosting servers.

SUBSCRIPTION PERIOD: A client may stop using Carrie Green services by giving Carrie Green one month’s notice in writing.

YOUR OWN YOUR DOMAIN NAME: While we typically do register your domain for you or transfer your existing domain to us in order to offer you a simple, one-cost package — you own it and are free to take it with you if you ever decide to cancel your service.

YOUR OWN YOUR WEBSITE:  For custom designs, just like your domain name, you own your website and all of its content.  If you ever decide to cancel your service, we will work with you to transfer your site elsewhere. For subscription templates, you can own and transfer your website elsewhere for a one time flat fee.

CHANGES IN PROJECT DIRECTION: If client wants to change the project direction after acceptance of this agreement, client shall send designer a written {email} change order describing the requested changes in detail. Within 10 days of receiving a change order, designer will respond with a statement proposing designer’s availability, additional fees, changes to delivery dates, and any modification to the terms and conditions. Designer will evaluate each change order based on project needs. Charges shall be in addition to all other amount payable under this agreement, despite any maximum budget, contract price or final price identified. Designer may extend or modify any delivery schedule or deadlines in the agreement as may be required by such changes. Client will have 10 days to respond in writing accepting or rejecting the new proposal. If client rejects the proposal, designer will not be obligated to perform any services beyond those in the original agreement. If clients design direction changes after initial agreement, my time will be billed separately at $100 per hour.

TEXT CONTENT: The designer is not responsible for writing any text copy unless we specified it in the original proposal. The hiring and payment for a copywriter is solely the client’s responsibility.

CREDITS: You agree that I will put my name in your site footer as credit for the designing and customization of your website. I reserve the right to display and link your completed project as part of my portfolio and to write about the project if the opportunity presents itself. I will notify you in any of these cases and any additional publicity your site gains is of course free of charge. Upon completion of the project, I will offer you the opportunity to fill out a client survey, as well as provide an optional endorsement for me to place on my site.

DELAYS: Client shall use all reasonable efforts to provide needed information, materials and approvals. Any delay by client will result in a day-for-day extension of the due date for all deliverables. If designer waits beyond 30 days for any revisions and project is at a standstill because of the client, the designer has the right to end the contract or revise/update the estimate based on their current design costs. Any delay caused by conditions beyond the reasonable control of the parties shall not be considered a breach and will result in a day-for-day extension any performance due. Each party shall use reasonable efforts to notify the other party, in writing, of a delay. Conditions beyond the reasonable control of the parties include, but are not limited to, natural disasters, acts of government after the date of agreement, power failure, fire, flood, acts of god, labor disputes, riots, acts of war, terrorism and epidemics.

REVISIONS: For custom designs there will be up to two rounds of revisions for page mockups and after website mockups have been reviewed & approved, 1 round of revisions are permitted when the site is online. $100.00 per hour fee will be applied for additional revisions.

COMPATIBILITY: We will do our best to ensure that your completed project looks great in current, common browsers( including Chrome, Safari, and Firefox) and on default mobile device sizes. We will not, however, test your site on old or abandoned browsers. If you require compatibility with lesser-known browsers, it is your responsibility to test them. Any additional work will be billed at $100 per hour.

NAMING: Client takes full responsibility for ensuring that the company/product/name is legally free before work is started. Should any legal issue arise with the naming after the project has been completed, no refunds are possible neither am I responsible for any problems thus arising.

MATERIALS YOU SUBMIT: You shall not upload, post or otherwise make available on the Site any artwork, photos, or other materials (collectively “Materials”) protected by copyright, trademark, or other proprietary right without the express written permission of the owner of the copyright, trademark, or other proprietary right, and the burden of determining that any Materials are not so protected rests entirely with you. You shall be liable for any damage resulting from any infringement of copyrights, trademarks, or other proprietary rights, or any other harm resulting from such a submission. For all Materials submitted by you to the Site, you automatically represent or warrant that you have the authority to use and distribute the Materials, and that the use or display of the Materials will not violate any laws, rules, regulations, or rights of third parties.

INTELLECTUAL PROPERTY RIGHTS TO YOUR MATERIALS: We claim no intellectual property rights over the material you supply to Carrie C. Green. You retain copyright and any other rights you may rightfully hold in any content that you submit through the Site or Service. Content you submit to Carrie C. Green remains yours to the extent that you have any legal claims therein. You agree to hold Carrie C. Green harmless from and against all claims, liabilities, and expenses arising out of any potential or actual copyright or trademark misappropriation or infringement claimed against you. By posting material on the Site, you grant us a worldwide, nonexclusive, irrevocable license to use the material for promotional, business development, and marketing purposes.

INDEMNIFICATION & LIABILITY: Designer can not guarantee that the work will be error-free and so Designer can not be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them.

CONFIDENTIAL INFORMATION: All material considered confidential by either party should be designated as confidential. Confidential information shall not be disclosed to third parties and shall only used as needed to perform this agreement. Confidential information will not include any information that is already known by the recipient, becomes publicly known through no fault of the recipient, or is received from a third party without a restriction on disclosure.

RELATIONSHIP OF PARTIES: Designer is an independent contractor. Designer shall determine, in her sole discretion, the manner and means by which the services are accomplished. No agency, partnership, joint venture, or employee-employer relationship is intended or created by this agreement. Neither party is authorized to act as agent or bind the other party except as expressly stated in this agreement. Designer and the work product or deliverables prepared by designer shall not be deemed a work for hire as defined under copyright law. All rights granted to client are contractual in nature and are expressly defined by this agreement. The services and the work product of designer are sold “as is.” In all circumstances, the maximum liability of designer, its directors, officers, employees, design agents and affiliates (“designer parties”), to client for damages for any and all causes whatsoever, and client’s maximum remedy, regardless of the form of action, whether in contract or otherwise, shall be limited to the net profit of designer. In no event shall designer be liable for any lost data or content, lost profits, business interruption or for any indirect, incidental, special, consequential, exemplary or punitive damages arising out of or relating to the materials or the services provided by designer, even if designer has been advised of the possibility of such damages, and not withstanding the failure of essential purpose of any limited remedy.

If terminated by designer or client, Carrie C. Green the deposit or past subscription payments are non-refundable. I understand that I cannot claim any additional expenses, damages, or claims based on the failure the designer to complete the logo or website.

LICENSE: Designer grants to client a non-exclusive, perpetual and worldwide license to use and display the final deliverables in accordance with this agreement. All designs are the intellectual property of Carrie C. Green and may not be sold, redistributed or given away. We ask that you respect the hard work we’ve put into the designs and not send this file to others. Due to the nature of this product, refunds are not available. If you have additional questions, please contact us and we’ll be happy to help you.

PRELIMINARY WORKS: Designer retains all rights to all preliminary designs. Client shall return all preliminary designs to designer within thirty (30) days of completion of the project and all rights in and to any preliminary designs will remain the exclusive property of designer

SUPPORT SERVICES: For custom designs, during the first month following expiration of this agreement, designer will provide up to 30 days of support services at no additional cost to client. Support services means commercially reasonable technical support and assistance to maintain and update the deliverables, including correcting any errors or deficiencies. Requests for additional support will be billed on a time and materials basis at designers standard rate $100 an hour. The services in the warranty period and do not include enhancements to the project or other services outside the scope of the proposal. For subscription theme designs,If you need technical support throughout the month — to help with things like content additions or revisions, new functionality or graphic/web design — we are happy to help with anything you may need at our normal $100 hourly rate or provide you with a project quote.

MAINTENANCE: Carrie C. Green are not responsible for changes made to Customer’s web site(s) by other parties. Carrie C. Green are not responsible for third-party plugins that may become unusable. Recovery or repair of Customer’s website is not guaranteed.
